Terms of Service

1. Eligibility
You must be at least 13 years old to use Quorum. If you are under 18, you represent that you have your parent or legal guardian's permission to use the Service. By creating an account, you confirm that the information you provide is accurate and that you are not barred from using the Service under applicable law.
2. Your Account
You are responsible for safeguarding your account credentials and for any activity that occurs under your account. You agree to notify us immediately at alex@quorumapp.ai of any unauthorized access. We are not liable for any loss or damage arising from your failure to protect your account.
3. Your Content
You retain ownership of the content you create and share through Quorum (messages, photos, events, polls, etc.). By posting content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, and display that content solely for the purpose of operating and improving the Service. This license ends when you delete your content or your account, except to the extent that content has already been shared with others or where retention is required by law.
4. Acceptable Use
You agree not to use Quorum to:
- Post content that is illegal, harassing, threatening, defamatory, obscene, or that infringes on others' rights.
- Impersonate another person or misrepresent your affiliation with anyone.
- Send spam, phishing attempts, or unsolicited bulk messages.
- Attempt to access another user's account or any part of the Service that you are not authorized to access.
- Reverse-engineer, decompile, or attempt to extract source code from the Service.
- Use automated systems (bots, scrapers) to access the Service without our written permission.
- Interfere with or disrupt the integrity, security, or performance of the Service.
- Use the Service to violate any applicable law or regulation.
Violation of these rules may result in suspension or termination of your account.
5. Content Moderation
We take user reports seriously. If you encounter content that violates these Terms, please report it using the in-app report function or email alex@quorumapp.ai. We review reports as soon as possible and may remove content, suspend accounts, or take other action at our discretion. We do not guarantee any specific response time.
6. Intellectual Property
The Quorum name, logo, app design, website, and underlying technology are owned by Modern Foundations Inc. and are protected by copyright, trademark, and other laws. These Terms do not grant you any right to use Quorum's trademarks or trade dress without our prior written consent.
7. DMCA / Copyright Complaints
If you believe content on Quorum infringes your copyright, please send a written notice to alex@quorumapp.ai that includes:
- Your physical or electronic signature.
- Identification of the copyrighted work claimed to be infringed.
- Identification of the allegedly infringing material and its location.
- Your contact information (address, phone number, email).
- A statement that you have a good-faith belief that use of the material is not authorized.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.
8. Termination
You may delete your account at any time from the app's settings. We may suspend or terminate your access to Quorum, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (such as ownership, disclaimers, limitations of liability, and dispute resolution) will continue to apply.
9. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
To the maximum extent permitted by law, in no event shall Modern Foundations Inc., its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.
Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed one hundred US dollars ($100) or the amount you have paid us in the past twelve months, whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless Modern Foundations Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms.
11. Apple App Store Terms
If you downloaded Quorum from the Apple App Store, the following additional terms apply: (a) these Terms are between you and Modern Foundations Inc., not Apple; (b) Apple is not responsible for the Service or its content; (c) Apple has no obligation to provide maintenance or support; (d) in the event of any failure to conform to any applicable warranty, you may notify Apple, which will refund the purchase price (if any), but Apple has no other warranty obligations; (e) Apple is not responsible for addressing claims relating to the Service, including product liability claims, claims of non-conformance with applicable law, or claims under consumer protection law; (f) Apple is a third-party beneficiary of these Terms and may enforce them against you.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in Delaware in accordance with the rules of the American Arbitration Association, except that either party may bring an individual claim in small-claims court. You waive any right to participate in a class action or class arbitration.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll notify you through the app, by email, or both before the changes take effect. Your continued use of Quorum after changes take effect constitutes acceptance of the updated Terms.
14. Miscellaneous
These Terms constitute the entire agreement between you and Modern Foundations Inc. regarding the Service. If any provision is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely.
